Video walkthrough & workbook preview
See the consultancy and the acquisition in one model.
Follow the service assumptions through delivery capacity, revenue, expenses, cash requirements, financing, and investor returns.
A forecast built around the services you sell
Model retainers, projects, and hourly advice.
Build each service line from starting relationships, retention, new business, billing frequency, fees, and realization. Project and hourly activity can reflect seasonality; delivered work drives the revenue forecast.
HR support retainers
Recurring outsourced HR support, modeled through client relationships and monthly service fees. Billing unit: client-month
Fractional HR leadership
Ongoing leadership engagements with their own fees, client retention, and consultant-hour requirements. Billing unit: client-month
Compliance & policy projects
Project-based work such as policy reviews and compliance support, with engagement volume, pricing, and delivery hours. Billing unit: project
Compensation & HRIS projects
Specialist engagements with separate assumptions for fees, workload, delivery resources, and subcontracting. Billing unit: project
Training & coaching
Workshops and coaching programs with activity frequency, seasonality, pricing, and consultant time. Billing unit: workshop
Hourly HR advisory
Advisory work driven by billable hours, hourly fees, realization, and the capacity available to deliver it. Billing unit: billable hour
People, delivery capacity & margins
Test whether the team can deliver the revenue plan.
Connect client demand with the paid consulting team, available delivery hours, and the cost of completing the work.
Consultant capacity by service
Plan dedicated delivery teams using consultant FTE, paid hours, availability, and the share of time available for client work. Compare demand with the resulting service capacity.
Subcontracting & unserved demand
Route eligible overflow to subcontractors within service-specific monthly hour limits. Track subcontractor expense and work that remains unserved. Unserved demand is not carried forward as backlog.
Realization, scope & payroll
Test fee realization and scope overruns that consume hours without increasing fees. Include salaries, employer burden, wage inflation, administrative staff, and commercial overhead.
IT, software & office costs
Plan IT purchases, maintenance capital spending, depreciation, optional office additions, and software costs linked to paid FTE. Consultant staffing drives billable capacity; IT packages support the operation.
Working capital & cash timing
See the cash needed between paying the team and collecting fees.
Model service-fee collection days, reimbursable expenses, prepaid delivery resources, vendor and subcontractor payables, accrued payroll, and advance retainers. Gross receivables and client advances remain visible separately.
Client expense reimbursements are treated as at-cost pass-throughs, separate from service-fee revenue and EBITDA. These balances connect the operating forecast with monthly funding needs.
Purchase price, closing funds & ongoing liquidity
Understand the buyer’s full cash commitment.
Start with historical performance and supported EBITDA adjustments, then connect the proposed transaction to five years of operating cash flow.
Purchase price & Sources and Uses
Set entry value from normalized LTM EBITDA and a purchase multiple. Adjust consideration for delivered operating working capital versus the agreed peg, then include transaction costs, financing fees, and opening cash.
Senior debt & seller financing
Model acquisition debt, senior amortization and interest-only periods, financing fees, and an interest-only seller note with a maturity balloon. Buyer equity funds the remaining closing requirement.
Revolver & additional equity
Set the revolving-credit limit, minimum cash target, and maximum additional operating equity. Review borrowing, further contributions, and any unfunded cash requirement.
Debt repayment & distributions
Follow senior debt cash sweeps and investor distributions through the monthly cash schedule. Review recurring debt service coverage and the separate effect of the seller-note balloon.
Base / Downside / Upside / No Synergies
Find out what the investment depends on.
Four selectable cases run through the same forecast, linking operating assumptions to debt coverage, funding needs, value, and equity returns.
Operating scenarios
Test retention, new business, fees, service activity, delivery capacity, cost inflation, and collection timing. See how the active case changes the consultancy’s financial results.
Integration benefits & costs
Model overhead savings, vendor discounts, and cross-selling with start dates and implementation ramps. Include the integration spending needed to achieve the plan.
No Synergies case
Review the deal with integration benefits and integration expense removed. Acquisition-related client losses remain, helping you assess the business without the planned integration upside.
Two-way sensitivity tables
Test equity XIRR against entry and exit EBITDA multiples, and minimum rolling debt service coverage against demand and delivery-cost stress. Use the EBITDA exit method for the multiple sensitivity.
Financial reports, valuation & decision support
Follow the operating plan through to the buyer’s return.
Connected financial statements
Review monthly and annual income statements, balance sheets, and cash flow statements linked to service delivery, staffing, working capital, assets, financing, and modeled business taxes.
Equity cash flow & returns
Evaluate dated equity XIRR, MOIC, and NPV. The annual equity summary separates closing investment, later contributions, operating distributions, exit proceeds, and cumulative cash flow.
Valuation & exit choices
Choose an EBITDA multiple, continuing DCF, or net-revenue multiple for exit value. Review the enterprise-to-equity bridge, unlevered acquisition returns, and a football-field valuation chart.
Historical comparisons & KPIs
Compare historical results and LTM performance with Years 1–5. Review service revenue, margins, consultant utilization, revenue per FTE, outsourced work, debt, cash, and funding charts.
Assumptions Analysis
Enter the existing business’s LTM operating assumptions beside linked Year 1–5 forecast drivers. Compare the growth and operating plan with the seller’s baseline and review the differences.
Deal scorecard & diligence
Use a 100-point acquisition scorecard and separate evidence-coverage measure. Track contracts, client continuity, key consultants, data security, professional liability, closing conditions, and unresolved risks.

A few useful details.
What type of HR business does this model cover?
It is designed for an HR consultancy selling outsourced support, fractional leadership, projects, training, and hourly advice. It does not model a PEO, employer of record, client employment, or funding client payroll.
Is this an operating forecast or an acquisition model?
It combines both: a five-year monthly operating forecast and an existing-business acquisition framework. Historical results and normalized earnings inform the transaction, while service demand, staffing, and delivery economics drive the forecast. The acquisition framework assumes a cash-free, debt-free asset purchase; the opening allocation is a planning tool, not a formal accounting or tax purchase-price allocation.
Are service relationships the same as unique clients?
No. A client may purchase several services. Adding relationships across all six service lines therefore does not produce a unique-client count.
How do staffing, subcontractors, and IT packages affect capacity?
Consultant FTE and available delivery hours determine internal capacity by service. Eligible overflow can use subcontractors within the modeled limits. IT packages add technology investment and optional office costs; they do not add consultant capacity. Payroll continues during underutilization.
How are retainers, reimbursements, and unserved demand treated?
Retainer fees follow delivered client-months, and undelivered retainer units reduce modeled fees. Client advances are shown separately from gross receivables. At-cost expense reimbursements are separate from service-fee revenue and EBITDA. Unserved demand is not carried into a future backlog; material milestone billing or unbilled work may require additional schedules.
What does the No Synergies case remove?
It removes modeled overhead savings, vendor discounts, cross-selling benefits, and integration expense. Acquisition-related client losses remain in the case.
Do LTM entries on Assumptions Analysis change the forecast?
No. They provide a comparison with the existing business. The Year 1–5 columns link to active forecast assumptions. Change the forecast through the model’s operating and transaction input tabs.
Does a strong deal score mean the information has been verified?
No. The acquisition assessment and verified-evidence coverage are separate. The sample inputs are illustrative. Record supporting information and reviewer conclusions before marking diligence or scorecard evidence as verified.
What software should I use?
This is an Excel workbook. Use Excel with Automatic calculation, including data tables, for the built-in two-way sensitivities. The entry/exit multiple sensitivity uses the EBITDA exit method.
How much does the model cost?
The one-time price is $45 for the Excel download, available immediately after purchase. The model is also included in the Industry-Specific Financial Model Bundle and Super Smart Bundle linked above.
